Installation

The Customer acknowledges and agrees that the Customer will be responsible for supplying any special equipment and / or telephone lines required by the telephone company and for any fees imposed by government agencies or other third parties relating to the used of alarm equipment specified in this Contract. The Customer acknowledges and agrees that ARMD Solutions shall have access to the premises for the installation of the alarm equipment during a mutually agreed upon and convenient period. The Customer acknowledges and confirms that the installation may necessitate drilling into various parts on the premises and while ARMD Solutions endeavors to conceal wiring, in some cases, due to construction, decoration of furnishings, wire will remain exposed. The Customer, at its sole expense, shall supply unswitched and unburdened 110v, 60 cycle AC power where specified by ARMD Solutions and as required for the operation of the Equipment.

Warranty

Any part of the system installed under this Contract which proves to be defective in material or workmanship within 12 months of the date of completion of installation will be repaired or replaced at ARMD Solutions’ exclusive option with a new, refurbished or functioning operative part. The supply of labour and/or material, not including batteries, is the sole decision of ARMD Solutions whether service is to be provided on a carry-in basis or on the Premises. This Warranty does not apply to the conditions listed below and in the event Customer calls ARMD Solutions for service under the Warranty and upon inspection by ARMD Solutions’ representative it is found that one of these conditions has led to the inoperability of the system, a charge will be made for the service call of ARMD Solutions’ representative whether or not he actually works on the system. Should it actually be necessary to make repairs to the system due to one of the “Conditions” not covered by Warranty, a charge will be made for such work at ARMD Solutions’ then applicable rates for the labour and materials. Service will be furnished by ARMD Solutions during an agreed upon time. Batteries are not warranted. It is the responsibility of the Customer to test the system regularly to determine that all battery-powered components are in operating properly.

ARMD warrants to the Customer that the services and/or products will be performed /supplied by ARMD in a good, workmanlike and professional manner, in accordance with all applicable laws and regulations and in accordance with all generally accepted industry standards for the provision of similar services/products. Any services/products, hardware/software provided, if any, is not guaranteed and is provided on an “as is” and/or “as available” basis and ARMD gives no representations, warranties, (except for that provided by the manufacturer directly), or conditions of any kind, express or implied, including without limitation warranties as to uninterrupted or error free service, accessibility, privacy of files or electronic messages, security, merchantability, quality or fitness for a particular use or purpose and those arising by statute or otherwise, or from a course of dealing or usage of trade.

The Customer shall receive a 30 day warranty on parts and labour on materials supplied, shipped or installed as well as receive a 1 year manufacturer’s warranty on parts where applicable.

Conditions not covered under Warranty:
1) Damage from accidents, acts of God, alteration, misuse, tampering and abuse.
2) Trouble due to interruption of commercial power or to the telephone service.
3) Failure of the Customer to properly follow operating instructions provided by ARMD Solutions at the time of installation or at a later date.
4) Battery changes. The foregoing Warranty is in lieu of all other warranties, express or implied, including, but not limited to any implied warranties of merchantability or fitness for a particular purpose. The purchaser’s exclusive remedy with respect to any and all losses or damages resulting from any cause whatsoever, including ARMD Solutions’ negligence, shall be repair or replacement as specified above. ARMD Solutions shall in no event be liable for any consequential or incidental damage of any nature, including without limitation, damages for personal injury or damages to property, however occasioned, whether alleged as resulting from breach of warranty or contract by ARMD Solutions or negligence of ARMD Solutions or otherwise.

Ongoing Services

In the event that ARMD provides ongoing services ARMD will provide regular invoices to the Client, said invoices shall set out in reasonable detail the services provided by ARMD during the period covered by the particular invoice and the amount due to ARMD. The Customer shall be charged a monthly fee for the services and said fees shall be charged regularly to the account or credit card of the Customer. In the event that a monthly charge is not accepted by the Customer’s bank account or credit card, the monthly charge shall be subject to interest as set herein and be deemed a default by the Customer and as such grounds sufficient for the suspension or termination of services by ARMD. Any amounts not paid when due hereunder shall accrue interest at the rate of 14% per annum.

The Customer has purchased services from ARMD for a term set out in the formal agreement, commencing on the in service date as agreed in the same agreement. The customer acknowledges and confirms that upon the expiry of the term this Contract for services will automatically renew on a year to year basis unless terminated as hereinafter set forth.

Cancellation

This Contract may be terminated at the option of ARMD Solutions if ARMD Solutions’ Central Monitoring Station is damaged by fire or catastrophe, or if ARMD Solutions is unable to have connections or privileges necessary to transmit signals between the Customer’s Premises, ARMD Solutions’ Monitoring Station or the Municipal Police or Fire Department or other agency and ARMD Solutions shall not be liable for any damages or subject to any penalty as a result of such termination. This Contract cannot be cancelled prior to 30 days notice by the Customer following the term of said Contract. Should the Customer order ARMD Solutions to terminate the services or prevent ARMD Solutions from installing, making operational, servicing or otherwise interfere with the proper operation of the Equipment, or in the event that the Customer defaults by failure to make any payments as agreed herein, the Customer shall be obligated to pay as damages forthwith, the total amount of the monitoring fees for the unexpired term of this Contract as well as all the service charges stipulated duration of this Contract. The Customer will not be entitled to or claim any refund in respect of services and/or products supplied by ARMD under this Contract.

Notwithstanding anything herein to the contrary, ARMD’s entire liability, and the Customer’s sole and exclusive remedy, for a breach of the warranty set out herein shall be, at ARMD’s sole option, for ARMD to:
(a) return the fees paid by the Customer if within the 30 day allowable period;
(b) provide a fix, patch or work-around for the problem; or
(c) replace the software or hardware with software or hardware that have similar functionality; or
(d) provide the Customer with a credit to be applied towards future purchases by the Customer

Signal Receiving and Notification Service shall be provided by ARMD Solutions and in the event an alarm signal registers at the ARMD Solutions Monitoring Station, Central Station personnel shall endeavor to notify the appropriate Police or Fire Department and the designated representative of the Customer.

ARMD Solutions wireless radio controls provide a reliable communications link and fill an important need in wireless signaling. The Customer acknowledges that there are limitations and impediments to such wireless communication. Such impediments include but are not limited to: 1.receivers may be blocked by radio signals that occur on or near their operating frequencies, regardless of code settings; 2 a receiver cannot respond to more that one signal at a time; and 3. infrequently used radio links should be tested regularly to protect against undetected interference or fault. A communicator is built into the control unit and it is understood and agreed by the Customer that there is no practical method for verifying the transaction capability of the communicator. It is the responsibility of the Customer to make periodic tests, not less than monthly, which the Customer confirms being advised of.

Privacy Policy

This Policy applies to all of the products and services offered by ARMD Solutions (also specified herein as ARMD). ARMD offers a number of services that may not require the Customer to register for an account or provide any personal information to ARMD. However, in order to provide ARMD Solutions’ full range of services, ARMD may collect the following types of information:
Information you provide – When the Customer signs up for an ARMD account or other service that requires registration, ARMD will ask you for personal information (such as name, email address and an account password). For certain services, such as our ARMD affiliate programs, ARMD may also request credit card or other payment account information which ARMD maintain in encrypted form on secure servers. All such information will be used only for the purposes for which it was provided.
ARMD cookies – When a Customer visits www.armd-solutions.com or www.armdsecuritysolutions.ca, we send one or more cookies – a small file containing a string of characters – to the Customer’s computer that uniquely identifies the Customer’s browser. ARMD uses cookies to improve the quality of its service by storing user preferences and tracking user trends, such as how people search. Most browsers are initially set up to accept cookies, but the Customer can reset its browser to refuse all cookies or to indicate when a cookie is being sent. However, some ARMD features and services may not function properly if your cookies are disabled.

Log information – When the Customer uses ARMD online services, ARMD servers automatically record information that the Customer browser sends whenever the Customer visits a website. These server logs may include information such as Customer web request, Internet Protocol address, browser type, browser language, the date and time of your request, referring/exit pages and URLs, platform type, number of clicks, domain names, landing pages, pages viewed and the order of those pages, the amount of time spent on particular pages and one or more cookies that may uniquely identify the Customer browser.

Clear Gifs Information – ARMD online services, we may employ “clear gifs” (a.k.a. Web Beacons) which are used to track the online usage patterns of our Users anonymously (i.e., in a non-personally-identifiable manner). In addition, ARMD may also use clear gifs in HTML-based emails sent to ARMD users to track which emails are opened by recipients.
User communications – When the Customer send email or other communication to ARMD, ARMD may retain those communications in order to process Customer inquiries, respond to Customer requests and improve ARMD services.
Other sites – This Privacy Policy applies to web sites and services that are owned and operated by ARMD. ARMD do not exercise control over the sites displayed as links from within the Customer’s various services. These other sites may place their own cookies or other files on the Customer’s computer, collect data or solicit personal information from the Customer.
ARMD processes personal information on ARMD servers in the United States and Canada. ARMD may process personal information to provide ARMD services. In some cases, ARMD may process personal information on behalf of and according to the instructions of a third party.

When the Customer signs up for a service that requires registration, ARMD asks the Customer to provide personal information. If ARMD proposes to use personal information for any purposes other than those described in this Policy or in the specific service notices, ARMD will offer the Customer an effective way to opt out of the use of personal information for those other purposes. ARMD will not collect or use personal information for purposes other than those described in herein or in the specific service notices, unless ARMD has obtained the Customer’s prior consent. The Customer can decline to submit personal information to any of ARMD services, in which case ARMD may not be able to provide those services to the Customer.

ARMD only shares personal information with other companies or individuals outside of ARMD in the following limited circumstances: (1) ARMD has Customer’s consent; (2) ARMD provides such information to affiliated companies or other trusted businesses or persons for the purpose of processing personal information on ARMD’s behalf. ARMD requires that these parties agree to process such information based on ARMD ‘s instructions and in compliance with this Contract and any other appropriate confidentiality and security measures; and (3) ARMD have a good faith belief that access, use, preservation or disclosure of such information is reasonably necessary to; (a) satisfy any applicable law, regulation, legal process or enforceable governmental request; (b) enforce this Contract including investigation of potential violations thereof; (c) detect, prevent, or otherwise address fraud, security or technical issues, or; (d) protect against imminent harm to the rights, property or safety of ARMD, its users or the public as required or permitted by law.

ARMD takes appropriate security measures to protect against unauthorized access to or unauthorized alteration, disclosure or destruction of data. These include internal reviews of our data collection, storage and processing practices and security measures, as well as physical security measures to guard against unauthorized access to systems where ARMD store personal data. ARMD restricts access to personal information to ARMD employees, contractors and agents who need to know that information in order to operate, develop or improve our services. These individuals are bound by confidentiality obligations subject to enforcement, if they fail to meet these obligations.

ARMD processes personal information only for the purposes for which it was collected and in accordance with this Contract or any applicable service-specific privacy notice. ARMD reviews ARMD data collection, storage and processing practices to ensure that ARMD only collect, store and process the personal information needed to provide or improve ARMD services. ARMD take reasonable steps to ensure that the personal information ARMD process is accurate, complete, and current, but ARMD depend on ARMD Customers to update or correct their personal information whenever necessary.

Liability

The customer acknowledges and confirms that ARMD Solutions is not an insurer; that insurance, if any, shall be obtained by the Customer; that amounts payable to ARMD Solutions hereunder are strictly based upon the value of services offered and are unrelated to the value of property located at the Customer’s Premises. ARMD Solutions makes NO WARRANTY, EXPRESS OR IMPLIED that the Equipment it installs or the services it furnishes will avert or prevent occurrences or the consequences there from, which the Equipment and / or services are designed to detect or avert. In the event of injury to or death of a person or persons, loss, destruction, or damage to property, by any means whatsoever and however caused, any resulting damages recoverable by Customer from ARMD Solutions, its employees, agents, mandatories, or representatives, will be limited to a maximum amount of CDN $250.00. This amount shall be complete and inclusive and shall be paid and received as liquidated damages and / or in lieu of any type of damages of whatsoever nature and not as a penalty. Customers covenants to save and hold harmless ARMD Solutions, its employees, agents, mandatories or representatives free against any claim for damages in excess of this amount. These provisions shall apply whether or not such damages arise out of and are connected with the provisions or failure to provide the Equipment, apparatus, installation or service in any respect, or by reason of the negligence, imprudence or want of skill of ARMD Solutions, its employees, agents, mandatories or representatives. Customer confirms that without the foregoing provisions, ARMD Solutions would not have entered into this Contract. In no event, whether as a result of breach of contract or warranty or negligence or any act of omission or otherwise shall ARMD Solutions or its employees or representatives be liable for calls not made or completed or for the nature of any response to calls, nor shall ARMD Solutions be liable for any long distance or other telephone charges for any charges for emergency services or agencies. In no event shall any damages include, nor shall ARMD be liable for, any special indirect or consequential damages even if ARMD has been advised of the possibility thereof. The limit of liability of ARMD set forth herein shall apply in respect to any claim, demand or action by the customer irrespective of the nature of the cause of action underlying such claim, demand or action, including, but not limited to, breach of contract or tort. The Customer covenants and agrees to save and hold harmless ARMD Solutions, its employees, agents, mandatories, or representatives against any claim which may be brought against ARMD Solutions, its employees, agents, mandatories or representatives, by any person owning or having an interest in goods or other property at any time in the Premises arising out of or connected with the provisions of or the failure to provide the equipment, apparatus, installation, or services herein by reason of the negligence, imprudence, or want of skill of ARMD Solutions, or its employees, agents, mandatories, or representatives. The Customer confirms that without the foregoing provisions, ARMD Solutions would have not entered into this Contract.

ARMD Solutions assumes no liability for delays in installation of equipment, or for interruption of service due to strikes, riots, floods, fires, acts of God or any causes beyond the control of ARMD Solutions, and will not be required to supply service to the Customer while interruption of service due to any such cause shall continue.
The Customer confirms that the waivers and disclaimers of liability, releases of liability. Limitations and exclusivity of remedies expressed throughout this Contract shall apply even in the event of default, negligence (in whole or in part) strict liability or breach of contract by ARMD and shall extent to ARMD’s officers, directors, shareholders, employees and agents.

General

Unless otherwise specified, all references to amounts of money shall mean Canadian currency. This Contract shall be construed and enforced in accordance with the laws of the Province of Ontario. Jurisdiction and venue of any and all claims arising hereunder shall lie in the courts of the competent jurisdiction in the Province of Ontario. ARMD retains the right to amend and otherwise alter modify or delete any term and condition set forth in this Contract, however ARMD shall notify the Customer of any such change to the Contract by way written notice to the Customer, not less than forty-five (45) days prior to the implementation of any such change. This Contract is not assignable by the Customer except with the prior express written consent of ARMD Solutions. ARMD Solutions shall have the right to assign this Contract or to subcontract any of its obligations under this Contract without notice to the Customer. If any of the provisions of this Contract shall be determined to be invalid or unenforceable, the remaining provisions shall remain in full force and in effect. This Contract constitutes the entire Contract between the Customer and ARMD Solutions. In executing this Contract, Customer acknowledges and confirms that it is not relying on any advice or advertisement of ARMD Solutions. Customer acknowledges and agrees that any representation, promise, condition, inducement, warranty, express or implied, not included in writing in this Contract shall, not form part of this Contract, shall not be binding upon any party, and that the terms and conditions hereof apply as printed without alteration or qualification, except as specially modified in writing.
